Master Enterprise Integration Agreement

1. Operational Framework and B2B Classification
This Master Enterprise Integration Agreement ("Agreement") governs all interactions, procurement routing, and logistics execution initiated through the NOXVERN digital infrastructure. By accessing this platform or engaging our integration services, you are executing a strictly Business-to-Business (B2B) contract. NOXVERN does not operate in the consumer retail space. Consumer protection frameworks, standard retail return policies, and consumer-grade implied warranties are explicitly nullified and do not apply to any transactions or advisory services executed herein.
2. Asset-Light Integration Architecture
NOXVERN functions as a command-and-control node for enterprise IT hardware procurement. We operate an asset-light, distributed network utilizing specialized Third-Party Logistics (3PL) partners, Original Equipment Manufacturer (OEM) distributors, and localized staging facilities.
- Custody of Assets: NOXVERN manages the procurement logic, routing, and quality assurance protocols. Physical custody of hardware during staging and transit is maintained by our vetted 3PL network.
- Vendor Neutrality: We act as an independent architectural layer. Any hardware recommendations are based strictly on thermal, power, and computational load requirements provided by the client, devoid of specific OEM sales quotas.
3. Liability Parameters and Supply Chain Latency
Enterprise hardware deployment is subject to global supply chain variables. NOXVERN aggressively engineers routing to minimize friction; however, absolute liability limitations apply:
- Logistics Friction: We are not liable for deployment delays, financial penalties, or operational downtime resulting from OEM manufacturing deficits, raw material shortages, or macro-level transit disruptions outside our direct command architecture.
- Thermal and Environmental Baselines: Clients are solely responsible for accurately reporting the ambient environmental conditions of their target deployment zones. NOXVERN assumes no liability for hardware failure if the client deploys equipment into environments exceeding the specified thermal design power (TDP) or ambient heat thresholds validated during the staging phase.
4. Hardware Warranty Routing
NOXVERN is an integration partner, not a hardware manufacturer. All computing infrastructure, networking components, and environmental modules procured through our network carry the strict, inherent warranties of their respective OEMs.
In the event of a critical hardware failure (Dead on Arrival or operational degradation), NOXVERN will execute the warranty routing protocol, managing the RMA (Return Merchandise Authorization) process with the distributor on the client's behalf. We do not independently underwrite or extend OEM warranties.
5. Intellectual Property and Architectural Models
All proprietary deployment frameworks, structural staging diagrams, thermal dissipation models, and logistics topologies displayed on this platform or provided during consultation remain the exclusive intellectual property of NOXVERN.
Clients are granted a temporary, non-transferable license to review these models exclusively for the purpose of internal procurement auditing. Reverse-engineering, scraping, or unauthorized commercial distribution of our supply chain architecture to competitor integrators will result in immediate termination of access and initiation of corporate legal remedies.
6. Dispute Resolution and Governing Jurisdiction
Given the international nature of hardware supply chains, any legal disputes arising from procurement contracts, 3PL staging failures, or intellectual property breaches shall be subject to binding corporate arbitration. The governing jurisdiction for all operational logic and dispute resolution shall be New Delhi, India, overriding any conflicting localized vendor terms submitted by the client.
